Please review these terms carefully before using StackRa Agency's open-source ERP, cloud infrastructure, AI automation, or custom software services.
Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client") and StackRa Agency ("Company", "we", "our") governing your access to and use of our digital transformation services, SaaS platforms, open-source enterprise solutions, and cloud services. By creating an account, placing an order, or accessing any of our services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you are entering these Terms on behalf of a company, you represent that you have authority to bind that entity. Effective Date: April 1, 2025 — Version 3.0

StackRa Agency provides the following categories of services:
SaaS Platforms
Ready-to-use software applications for business productivity, workflow automation, and enterprise management, delivered via subscription.
Open-Source Enterprise Solutions
Deployment, customization, and long-term support of open-source tools such as ERPs, CRMs, and collaboration platforms tailored to your operations.
Digital Transformation Consulting
Strategic advisory services to help businesses migrate, modernize, and scale their digital infrastructure and processes.
Cloud & DevOps Services
Cloud architecture design, CI/CD pipeline setup, containerization, and managed infrastructure services on AWS, GCP, and Azure.
Custom Software Development
Bespoke web applications, APIs, and integrations developed to meet specific business requirements.
User Accounts
Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for keeping your account credentials confidential.
Account Security
You must immediately notify us at privacy@stackra.agency of any unauthorized use of your account. We are not liable for losses caused by unauthorized access due to your failure to secure credentials.
Account Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use our services. Corporate accounts require a duly authorized representative.
One Account Policy
Each individual or organization may maintain one active account per service tier. We reserve the right to merge or terminate duplicate accounts.
Payments & Billing
Subscription Plans
Paid services are billed on a recurring basis (monthly or annually) as selected at checkout. Prices are listed in USD and subject to change with 30 days' notice.
Payment Methods
We accept major credit/debit cards and PayPal, processed securely through Stripe. You authorize us to charge your payment method on each billing cycle.
Refund Policy
Monthly subscriptions are non-refundable once the billing cycle has started. Annual plans may be refunded pro-rata within 14 days of purchase. Project-based services are governed by the signed Statement of Work.
Late Payments
Overdue invoices are subject to a 1.5% monthly late fee. Services may be suspended after 15 days of non-payment and terminated after 30 days.
Taxes
All prices are exclusive of applicable taxes (VAT, GST, etc.). Clients are responsible for any taxes applicable in their jurisdiction.
Intellectual Property
StackRa's Intellectual Property
All software, designs, trademarks, logos, documentation, and platform features developed by StackRa remain the exclusive property of StackRa Agency.
Client Data Ownership
You retain full ownership of all data, content, and materials you upload or create using our services. We claim no intellectual property rights over your data.
License Grant to StackRa
By using our services, you grant StackRa a limited, non-exclusive license to process your data solely for the purpose of providing and improving our services.
Open-Source Components
Certain services incorporate open-source software governed by their respective licenses (e.g., MIT, Apache 2.0, GPL). These components remain subject to their original license terms.
Work-for-Hire
Custom development deliverables are assigned to the client upon full payment, as specified in the project Statement of Work.
Prohibited Use
You agree NOT to use our services to:
Illegal Activities
Conduct or facilitate any activity that violates applicable laws, regulations, or third-party rights, including copyright infringement.
Harmful Content
Distribute malware, spam, phishing content, or any material designed to harm, deceive, or exploit others.
System Abuse
Attempt to gain unauthorized access, perform reverse engineering, or interfere with the integrity or performance of our platforms.
Resale Without Authorization
Resell, sublicense, or redistribute our services to third parties without prior written consent from StackRa Agency.
Impersonation
Misrepresent your identity or affiliation, or create accounts on behalf of others without explicit authorization.
Limitation of Liability
To the maximum extent permitted by law: • StackRa Agency's total liability to you for any claim arising from these Terms or use of our services shall not exceed the total fees you paid in the 12 months preceding the claim. • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. • We do not warrant that our services will be uninterrupted, error-free, or free from security vulnerabilities, though we strive to maintain the highest possible uptime and security standards. • Our services are provided "as is" and "as available". We disclaim all implied warranties of merchantability and fitness for a particular purpose to the extent permitted by law.
Termination
Termination by You
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.
Termination by StackRa
We may suspend or terminate your access immediately if you breach these Terms, engage in prohibited conduct, or fail to pay outstanding invoices.
Effect of Termination
Upon termination, your right to access our services ceases immediately. We will provide a 30-day window for you to export your data before it is permanently deleted.
Survival
Provisions relating to intellectual property, limitation of liability, indemnification, and governing law survive termination of these Terms.
Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to binding arbitration under the Vietnam International Arbitration Centre (VIAC) rules. Nothing in this clause prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
